THE TRUE KSA · TRADE & THE BUILT ENVIRONMENT

Connect products with opportunity.

Understand Saudi commerce from supplier qualification to the customer’s door: wholesale distribution, physical retail, marketplaces and digital brands, with practical entry, compliance and economics.

Reviewed 24 October 2026; verify current rules, fees and service conditions before commitment.

A connected market, with different business models

Choose the customer, product and commercial role before selecting a licence, platform or warehouse.

  • Wholesale, retail and enablement are distinct

A distributor buys/sells goods and manages trade credit; a retailer serves consumers; a marketplace seller operates under both law and platform rules; a SaaS, payment or fulfilment provider sells services. The roles have different working-capital, liability and regulatory needs.

    Sources:W01W02W03
  • Established retail and distribution capability

Saudi commerce combines national grocery and specialty chains, FMCG distributors, local merchant platforms and international online channels. An investor must demonstrate product fit, compliant supply, reliable delivery and positive contribution after fees, not rely on national growth alone.

    Sources:W04W05W06W07
  • Three separate gates

Business authorisation, product/consignment approval and buyer/platform acceptance are separate. A CR, authenticated store, payment account or marketplace approval does not substitute for all other requirements.

An entry sequence for the actual business

Treat this as an evidence checklist, not an automatic approval. The exact activity, owner category, product and physical footprint control the route.

  1. 1

    Choose product, customer and role

Define B2B distribution, consumer retail, own-brand selling, marketplace, franchise or enablement. Identify seller/importer/stock owner and whether trading occurs from a Saudi entity, a local partner or a non-resident cross-border route.

  2. 2

    Confirm investment activity and ownership

Use current MISA registration and activity-specific conditions for the proposed foreign investment. Do not assume that a website is an exemption from wholesale/retail requirements. The legacy 2024 manual’s trading capital/commitment figures must not be treated as universal current terms; obtain the applicable classification and written requirements.

    Sources:W33W34W35
  3. 3

    Establish and maintain the entity

Complete the applicable company/CR, ownership disclosure, bank, tax and employer setup. The new CR framework uses one Kingdom-wide registration and annual confirmation; this does not remove store, warehouse or product permits. Keep current annual-confirmation deadlines in the operating calendar.

    Sources:W36W37W38
  4. 4

    Approve premises and products

Map municipal premises/warehouse permissions and the correct SASO/SFDA/CST or other product route. Verify Arabic labels, samples, tests, batch/expiry and brand rights before placing the first commercial shipment.

    Sources:W09W18W10W39
  5. 5

    Establish the store and channel

Use SBC’s current authentication route with the qualifying business evidence and commercial bank account. Check domain/store ownership and required customer policies. Complete platform onboarding separately; a freelance route available to eligible nationals is not a general foreign-investor substitute.

    Sources:W40W08W41
  6. 6

    Contract supply, payments and delivery

Negotiate landed price, origin and importer responsibilities, product approval, delivery, returns, credit and channel rights. Select licensed payment providers and a carrier/3PL with a clear rate card, SLA, data and stock liability.

    Sources:W42W03W29
  7. 7

Pilot and scale on retained profit

Start with a manageable assortment and region. Measure fulfilled/retained orders, contribution, returns, cash settlement and stock turns. Increase inventory or marketing only after repeatable unit economics and cash capacity support it.

Retailers, distributors, platforms and international channels

Illustrative, non-ranked directory. An entry identifies a business role, not a supplier endorsement, investment recommendation or guarantee of onboarding. Confirm the contracting legal entity.

Roles show what the cited source supports. Not a ranking, endorsement, investment recommendation or promise of onboarding.

Choose a route to market and a contract

Different channels shift inventory, pricing, service and credit risk. These are editorial comparison points, not universal contract terms.

  • Distributor / wholesale

Reach multiple stores through an established route, but test territory, exclusivity, minimum purchases, marketing obligations, credit, deductions, stock ownership, returns and termination. Verify the agency perimeter separately.

  • Modern-trade listing

Prepare a buyer file with SKU/GTIN, compliance, shelf life, case pack, price waterfall, delivery service, promotion support and recall contact. Negotiate listing fees and sale-or-return exposure; no listing is assumed from a company-directory entry.

  • Marketplace

A channel can supply demand discovery and fulfilment options while controlling account/category rules and charges. Distinguish GMV, seller net revenue and settlements after refunds/reserves.

  • Own website / omnichannel

You own merchandising and customer experience but must acquire traffic, process lawful customer data, handle payments/delivery and provide compliant aftersales. Shared stock needs a single reliable inventory record.

  • Cross-border / export

Specify the importer/seller of record, customs/tax collection, Incoterm, local stock, compliance, returns address and warranty. Cross-border dispatch does not remove Saudi product and consumer obligations.

Imports and supplier mix

Saudi reported imports were USD 496.06971m and 39,797.6 tonnes in 2024. The five leading partners shown are France, UAE, Spain, Italy and India. Dispatch or partner statistics do not alone establish preferential origin or supplier availability.

Source:W14

Exports have a different scope from local production

Gross exports were USD 208.38466m and 9,183.99 tonnes in 2024. UAE, US, Kuwait, Singapore and Oman were the top destinations shown. Gross trade can include re-exports; do not infer Saudi manufacturing output or market share from this category alone.

Trade policy, agreements and origin

A buying address, transshipment port and country of manufacture are different facts. Check the actual tariff line and agreement requirements.

  • GCC and Arab frameworks

Check GCC customs-union rules and the applicable Arab preferential framework through GAFT/ZATCA. Buying from a UAE warehouse does not automatically make the product GCC origin; retain the correct origin evidence and shipment record.

Tax, customs and landed cost

Separate import cash, recoverable VAT, operating tax and platform settlement. Product-specific classification controls the actual charges.

  • Use the current 12-digit tariff

ZATCA’s integrated tariff determines the exact duty by product/origin and relevant measures. Do not apply a blanket 5% retail duty. Confirm valuation, origin evidence, applicable permits and customs-service/handling charges before shipment.

    Sources:W53W56W57
  • VAT 15% standard rate and registration scope

The standard VAT rate is 15%, with product/transaction-specific zero-rating or exemptions where applicable. The ordinary resident mandatory threshold is SAR 375,000 of taxable supplies; voluntary registration has separate tests from SAR 187,500. Non-resident and local-stock arrangements can have different requirements.

    Sources:W58W59W25
  • E-invoicing and credit-note discipline

Use compliant invoices/notes and the correct B2B or simplified consumer route. ZATCA’s phases and notified integration waves are separate from the VAT-registration threshold. Visible required invoice fields must be Arabic; handle returns, discounts and refunds with consistent credit notes and payment records.

    Sources:W60W61W62
  • Personal parcel relief is not commercial import relief

ZATCA’s personal e-store guidance conditions customs-duty relief on value below SAR 1,000 including goods, freight and insurance, and no required clearance permission. VAT is not automatically waived. Do not structure commercial stock replenishment as personal parcels or use this threshold as a general e-commerce exemption.

    Source:W26
  • Excise-sensitive categories

Assess excise separately for relevant beverages, tobacco and other covered goods. The sweetened-beverage framework moved to a tiered volumetric model from 2026; do not copy an old blanket 50% guide into a current grocery model. Confirm product classification, sugar/content evidence and current assessment.

    Sources:W63W64
  • Business and cross-border taxes

Income tax/zakat depend on ownership, entity and tax base. Cross-border royalties, management, advertising, software and services require withholding/PE/treaty analysis as applicable. A platform payout net of fees is not automatically the tax-revenue basis.

  • The full landed-cost file

Include supplier price, freight/insurance valuation, actual duty, excise where applicable, customs services, conformity/testing, clearance, port/storage, inland delivery, damage and irrecoverable VAT. • Cosmetics and regulated health categories

Current SFDA cosmetic notification/GHAD and FASEH workflows must be checked for the specific product. Do not rely on a legacy FAQ saying registration is not yet mandatory. Medicines, supplements and devices have separate classification and marketing/operating controls.

    Sources:W70W10W71
  • Connected/electrical goods

Electrical/appliance conformity and energy or other category requirements can combine with CST equipment approval for communications devices. A supplier’s overseas certificate does not automatically satisfy every Saudi requirement.

    Sources:W09W39
  • Trademark, barcode and authentic stock

Check SAIP brand rights, genuine supply invoices, principal/distributor authority, required identifiers and GS1/GTIN where needed by the channel. A barcode identifies an item; it is not a product-safety, halal or brand-authorisation certificate.

  • Cancellation, returns and defects

The E-Commerce Law gives a conditional seven-day rescission right from receiving the product or the service-contract date if the consumer has not used/benefited from it, subject to exclusions. Delivery-delay cancellation has a separate 15-day/agreed-date framework and exceptions. Defect/warranty rights are separate; a store’s “no returns” notice cannot be assumed to remove statutory rights.

Documented participation and capability models

An MoU, acquisition, direct launch and provider agreement have different legal and commercial effects. No automatic technology-transfer claim is made.

  • International direct-to-consumer entry

Apple’s 21 July 2025 release documents its Saudi online-store/app launch and Arabic customer support. Its statement about physical locations starting in 2026 was a plan in that release, not independent confirmation here that particular stores opened.

Unit economics: growth must survive the costs

Hypothetical model only. The inputs are not platform rate cards, Saudi market margins, financing offers or forecast investment returns.

Understand the assumptions

One item per dispatched order; returned items produce no sales revenue and are recovered into inventory except the explicit write-off cost. How it is calculated

Kept orders = dispatched × (1−return rate). Net sales = kept × price excluding VAT. Gross profit = net sales−landed cost of kept items. Contribution deducts commission, payment, fulfilment, delivery, returns, write-offs and advertising. Operating result deducts fixed cost.

Model assumption

Assumed here: commission and payment fees apply to kept (net) sales, so fees on returned revenue are treated as refunded; returned items go back into stock except the stated write-off. Many real contracts do not refund fees.

All values exclude recoverable VAT. Add irrecoverable tax, finance, shrinkage, non-refundable fees and other actual costs. No growth, tax relief, fee refund or profitable demand is promised. Break-even is a constant-unit-economics illustration, not a sales forecast.

Consider household, corporate and industrial B2B demand, Gulf-linked supply and current local competition. Validate stock allocation, cross-border documentation and actual delivery cost.

  • Editorial analysis

    Regional cities and long-distance delivery

A local assortment or distribution gap can be an opportunity if verified by buyers. Model remote surcharges, returns, stock availability and service promises; do not advertise nationwide next-day service without carrier evidence.

Employment, skills and training institutes

Distinguish existing jobs from projected new hires. Build staffing around the actual store, product and channel.

AI concept of retail team training

  • Existing employment is not jobs created

DataSaudi reports 1,803,668 workers in the broad wholesale/retail and vehicle-repair activity in Q2 2026. The measure includes more than online retail and is not Saudi-only employment. This page does not invent a jobs-per-investment multiplier.

  • A practical capability plan

Category management, buying, store supervision, merchandising, Arabic customer service, inventory/warehouse control, product compliance, catalogue operations, performance marketing, payment reconciliation, data protection and reverse-logistics skills. Separate employees from outsourced carrier/3PL personnel.

  • Monshaat Academy and support centres

Use current training, e-commerce risk and advisory programmes; distinguish archived courses from open enrolment. Course completion can build skill but does not issue every required operating licence.

  • TVTC and HRDF/Doroob

TVTC’s programmes include e-commerce and technical/business pathways; HRDF/Doroob training covers commerce/retail, logistics and related skills. Check current intake, eligibility and any support conditions rather than assuming every applicant receives funding.

  • Occupation and establishment rules

Check the live HRSD/Qiwa localisation, work-authorisation and payroll requirements for the actual activity and occupations. Food handlers, technical roles and licensed services can need separate competencies. Do not copy another sector’s percentages across every retail job.

    Retail Show Saudi

    Biban / Monshaat networks

The official schedule retrieved is Biban 2025, 5–8 November 2025, a historical edition. Monshaat publishes later page-update dates on older news; do not relabel an old edition as 2026. Use current official channels for the next confirmed forum.

  • Ongoing services

    Franchise Center events and services

Use current franchise training, tours and business-development opportunities. Identify the actual franchisor and authorised rights; participation does not validate every franchise’s investment economics.

  • Ongoing networks

    Seller learning and buyer engagement

Combine Amazon/noon seller resources, Monshaat support centres and direct retailer/distributor buyer channels. Prepare a product/price/compliance file; platform webinars and exhibitions do not replace negotiated listing or regulatory approval.

What the sector needs: test these capabilities

Editorial opportunity hypotheses, not official shortage lists or guaranteed demand.

  • Editorial analysis

Product fit and compliant local supply

Localise assortment, packaging and Arabic product/service information around proven demand. Validate category economics and repeat orders rather than copying a broad catalogue.

  • Editorial analysis

    Reliable catalogue and stock information

Accurate identifiers, dimensions, images, attributes, stock and price reduce failed orders and returns. Integrate channels with traceable master data and a clear source of truth.

  • Editorial analysis

    Arabic service and reverse logistics

A reachable support team, honest delivery promises, fast complaint resolution and measurable return handling can differentiate a merchant more than another generic storefront.

  • Editorial analysis

    Efficient fulfilment and cold-chain capability

Build reliable product-specific handling, stock accuracy, peak capacity and delivery economics. Test service and temperature evidence; avoid launching nationwide coverage before operating capacity is proven.

  • Editorial analysis

    Profit-aware growth and credit control

Track cohort repeat purchase, gross margin, contribution, cash settlement and inventory risk. A business that understands its deductions and working capital is better prepared to scale responsibly.

The investor and buyer decision file

Gather evidence before committing to a partner, stock order, lease or marketing budget.

  • Commercial demand

Target customer, assortment, competitor comparison, buyer interviews, channel offer, observed sell-through, reorder evidence and written pricing terms. Distinguish interest and purchase orders from paid/retained consumer sales.

  • Entity, rights and compliance

Owner/activity requirements, MISA/CR/municipal route, current store authentication, product matrix, importer, brand/agency/franchise rights and key approvals. Record unresolved conditions and accountable owners.

  • Finance and operating case

Capex, landed cost, SKU/channel contribution, warehouse/store expenses, staff, credit/stock days, returns, seasonality, funding limits and downside scenarios. Include taxes, fees and actual settlement delays.

  • Contracts and systems

Supplier/distributor/platform/PSP/3PL contracts, payment/invoice integration, privacy/security, product recall, insurance, data/account ownership, service duties and exit. Validate bank details and principal authority independently.

Investor and merchant questions

Concise answers to common assumptions; official rules and your actual transaction control.

Does an online store avoid foreign-investment requirements?

No. Match the actual activity, ownership, stock and transaction route to MISA and the relevant business framework. Platform registration does not by itself authorise investment or trading.

Sources:W33W34
Is Maroof alone the current authentication route?

Use the Saudi Business Center’s current e-store authentication route and evidence requirements. A historical Maroof reference or a badge does not replace the current process or underlying business/product permissions.

Sources:W40W08
Does SABER cover every retail product?

No. Map the actual regulator and product. SFDA, CST and other category controls can apply separately; channel acceptance does not replace approval.

Sources:W09W10W39
Are all imports charged 5% duty?

No. Use the current product-specific 12-digit tariff, origin, trade measures and approved preferences/exemptions. Import VAT, excise and services can be separate.

Source:W53
Are small personal parcels VAT-free?

No automatic VAT relief follows from a low value. The personal customs-duty conditions are separate and must not be used as commercial-stock exemptions.

Source:W26
Does marketplace approval guarantee sales?

No. Approval, listing visibility, conversion, retained sales and contribution are different outcomes. Model all fees, advertising, returns, stock and settlement risk.

Sources:W01W24
Can a foreign company simply register as a commercial agent?

Check the specific agency regime: MC’s current FAQ requires Saudi ownership/management conditions for registered commercial-agency businesses. Ordinary trading, distribution arrangements and franchising need their own classification; do not treat them as identical or use a nominee cover-up.

Sources:W15W16W111
What should be ready before investing?

Verified activity/product permissions, clear brand/partner rights, a supported demand case, all-in cost and contribution model, stock/credit funding, customer policies and executable supply/delivery contracts.

Start with a qualified product and a viable channel

Validate activity, product, buyer and cash economics before committing. Use current official business services and the actual contracting provider.

Sources & verification

111 official, issuer, provider, organiser and multilateral records reviewed on 24 October 2026. A source supports the stated fact or service; it is not an endorsement, a licence or a current offer.

Research limitations

  • Primary official, issuer, provider, organiser and multilateral data were used. Some official services or PDFs returned errors or timed out; index extracts and scope notes identify these limits.
  • No definitive live MISA wholesale/retail term sheet was retrievable. No universal capital amount or guaranteed 100% foreign ownership is prescribed for every activity.
  • The official e-commerce law text was identified but its full download failed. Confirm current Articles 13 and 14 and their exceptions before relying on return-period wording.
  • No paid market report, customer survey, bank term sheet, distribution negotiation or supplier/site audit was available. Opportunities, margins and assumptions need validation.
  • 2024 perfume trade is a verified narrow product snapshot, not the latest complete year. The 2025 WITS query had no usable table, which is not proof of zero trade.
  • GASTAT indices, national electronic-payment statistics, employment and product trade have different scopes. Do not add them together or treat them as total e-commerce market size.
  • The unit-economics model uses hypothetical fees and assumes commission and payment refunds on returned revenue. Actual platform and payment terms, failed delivery and tax/cash effects can differ.
  • No current Biban 2026 schedule or dated Retail Show Saudi edition is claimed. Recheck event dates and registration before travel or publication.
